The Citizens Economic Empowerment Commission (CEEC) is a Body Corporate established under the Citizens’ Economic Empowerment Act No. 9 of 2006 to enhance broad-based economic empowerment, foster citizens’ economic ownership, control and management of economic resources, as well as to promote economic empowerment of targeted citizens is inviting applications from suitably qualified Zambians to fill the following position:

Director Legal Services (1 Position) – Lusaka

Reporting to the Director General, the ideal candidate will be responsible for the provision of professional legal advisory services, representation and assistance to the Commission.

Duties and Responsibilities

  • Coordinate all legal and contract matters of the Commission
  • Ensure all policies and procedures of the Commission meet the requirements of relevant legislation and reflect best practice
  • Keep custody of the Commission legal and regulatory frameworks and other statutory documents
  • Oversee the preparation and submission of Commission annual reports to the President, National Assembly and authorities prescribed in CEE Act No. 9 of 2006
  • Serves as Team Leader for the Legal Services Department
  • Serves as Legal Counsel of the Commission
  • Serve as Company Secretary of the Commission
  • Ensure that all policies and procedures of the Commission are compliant with all relevant legal and regulatory frameworks
  • Prepare and sign off all legal contracts and obligation transacted by the Commission
  • Ensure and facilitate Attorney General clearance of all relevant contracts, agreements and corporate commitments
  • Oversee all contracting, securing, litigation and discharge of loans, collateral, debentures and all other relevant legal oversight of the contracting and management of loans under the Citizens Economic Empowerment Fund
  • Oversee and clear all legal aspects of the Commission’s investment activities including joint ventures, equity and debt investments, corporate turnaround initiatives ,etc
  • Provide legal guidance to the Commission in the implementation of all other empowerment products, such as reservation schemes, preferential procurement, etc
  • Keep custody of the Commission seal and other statutory documents
  • Participate in the development of relevant legislation as may from time to time be required
  • Ensure all legal notices/summons/affidavits received are responded to appropriately
  • Liaise with external legal counsels and ensure that the Commission is well represented in matters relating to debt recoveries
  • Examine and oversee the proper preparation, perfection and safe keeping of securities
  • Research and advise the Commission on the legal status of applicants for
  • Loan equity
  • Undertake the creation of mortgages, debentures and other forms of security against loans
  • Undertake registration of mortgages/debentures with necessary institutions including the Ministry of Lands, Local Authorities and PACRA
  • Undertake discharge of mortgages/debentures when loans are fully repaid
  • Prepare notices required under agreements, initiate and follow up legal action on the Commission’s loan recoveries
  • Facilitate the Execution of Writs of Possessions as per court  judgments
  • Draft, review and update all contracts pertaining to the operation of the Commission including joint ventures, franchising, syndicating, equity positioning, quasi-equity, venture capital and other financing options
  • Appraise staff performance, identify skill gaps and recommend training/capacity building
  • Preparation of the department work plan and budget

Qualifications and Skills

  • LLB Degree or equivalent with current practicing certificate
  • An advocate of the High Court and Supreme Court of Zambia
  • Member of the Law Association of Zambia
  • Proven track record of court appearances
  • At least 5 years working experience in a similar position
